1.1 eCustomer is a management platform provided by Jinhua for its partners to exchange information necessarily required for their business (hereinafter referred to as “this Platform”).
1.2 To use this Platform, a user shall read and comply with this User Agreement (hereinafter referred to as “this Agreement”). Unless having read and accepted all the terms of this Agreement, a user shall not download or use any document and information provided on this Platform. By registering an account with this Platform, logging in this Platform, or downloading any document from this Platform, a user shall be deemed to have read this Agreement and agree to be bound by this Agreement.
2.1 Rules on use of account
2.1.1 Before use of this Platform, the user shall register an account. When registering an account, the user shall fill in correct and true personal and corporate information. The account name shall be an exclusive personal work email address that uses his/her company domain name. Any consequence arising from the incorrectness of any registration information shall be for the user’s own account, and Jinhua shall not be liable for such consequence and has the right to suspend or terminate the use of the account.
2.1.2 The ownership of any account of this Platform belongs to Jinhua. After the user completes the application for registration of an account, he/she only obtains the right to use the account, and the right to use the account only belongs to the initial applicant. The initial applicant shall not license the right to use the account to any other person by way of gift, lending or in any other manner known to a third party. The validity period of the account shall be determined by Jinhua, and Jinhua has the right to suspend or terminate (as the case may be) the user’s right to use the account at any time.
2.1.3 The user is responsible for custody of his/her account and password. The user shall attach importance to the safeguard of his/her account and password, and if any third party uses the user’s account and password to log in this Platform and performs any operation on this Platform, Jinhua has the right to deem that the third party has obtained the user’s full authorization to do so and the consequences arising therefrom shall be directly for the user’s own account. This clause shall not be deemed as Jinhua’s acceptance to the user’s grant of authority to any third party to use his/her account and password, and shall only reflect that the user shall bear sole liability for any and all activities and events performed or occurring in the name of or through his/her account.
All information of Jinhua provided on this Platform is confidential information (which falls within the scope of the Confidential Information as defined in the Non-disclosure Agreement entered into by and between the parties).
When using this Platform, the user shall comply with the following principles:
3.1 The user may search for and download relevant confidential information only for the purpose of the contract(s) that the user has concluded with Jinhua, and such confidential information shall be limited to such confidential information that are necessary to achieve the purpose of the contract;
3.2 Without Jinhua’s written approval, the user shall not disclose any confidential information on this Platform to any third party by any means (including but not limited to publication and dissemination);
3.3 The user shall strictly comply with his/her confidentiality obligation in respect of the confidential information (specific confidentiality clauses are set out in the Non-disclosure Agreement entered into by and between the parties). If any confidential information is divulged due to the user’s breach of the confidentiality obligation (whether willful or negligent), Jinhua will pursue legal liability against the user according to law and the user shall bear all of Jinhua’s losses arising therefrom.
4.1 The user warrants that any and all information uploaded by him/her through this Platform (including but not limited to the information having existed on the Platform and re-uploaded by the user after amended) is free from infringement of any third parties’ legitimate rights. If any loss is caused to Jinhua due to the user’s breach of this Agreement, Jinhua shall have the right to make claim against the user for any and all losses arising therefrom (including but not limited to lawyers’ fees, etc.).
4.2 The user shall be aware, understand and agree that Jinhua shall have the right to use the information uploaded by him/her through this Platform free of charge permanently and irrevocably.
If any dispute between Jinhua and the user arises from or in connection with the performance of this Agreement, either party has the right to file litigation before the people’s court of the place where Jinhua is located, and the law of the People’s Republic of China (excluding Hong Kong, Macau and Taiwan) shall apply.
